IMPORTANT — PLEASE READ CAREFULLY. This document contains a binding arbitration provision and class action waiver in Section 19, a release of liability and assumption of risk in Sections 9 and 10, and disclaimers of warranties and limitations of liability in Sections 11 and 12, all of which affect your legal rights. By creating an account, you affirmatively accept all terms below.

1. Acceptance of Terms

These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your," or "Neighbor") and SYG Holdings LLC, a Montana limited liability company, doing business as ShareBozeman ("ShareBozeman," "the Platform," "we," "us," or "our"), governing your access to and use of the ShareBozeman website, mobile interfaces, and any related services (collectively, the "Service").

By checking the acceptance box during account registration, by accessing the Platform, or by otherwise using the Service in any manner, you affirmatively acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any supplemental policies referenced herein or posted on the Platform (collectively, the "Agreement"). If you do not agree to every provision of this Agreement, you must not register for an account or use the Service in any capacity.

This Agreement is presented to every prospective User at the point of account registration via a mandatory acceptance checkbox, and no account will be created or activated until affirmative acceptance is recorded. We may log the date, time, IP address, and version of the Terms accepted for evidentiary purposes.

2. Eligibility and Age Requirement

2.1 Minimum Age

The Service is strictly limited to individuals who are eighteen (18) years of age or older. ShareBozeman does not knowingly permit registration, use, or access by any person under the age of 18, regardless of parental or guardian consent. There is no exception to this requirement.

2.2 Representation and Warranty of Age

By registering for an account, you represent and warrant that: (a) you are at least 18 years old; (b) all registration information you submit is accurate, current, and truthful; (c) you have the legal capacity to enter into this Agreement under the laws of your jurisdiction of residence; and (d) your use of the Service will comply with all applicable local, state, and federal laws.

2.3 Discovery of Underage Use

If we become aware, or have reasonable grounds to believe, that a User is under 18, we reserve the right to immediately suspend or terminate that account without notice, remove all associated content, and, where appropriate, report the matter to parents, guardians, or law enforcement. Any person who registers using false age information does so in violation of this Agreement and assumes all resulting liability.

2.4 Additional Eligibility Restrictions

You may not use the Service if you: (a) have been previously banned or suspended from the Platform; (b) are barred from using the Service under the laws of the United States or any other applicable jurisdiction; or (c) are listed on any U.S. government denied-party or sanctions list.

3. Description of the Service

3.1 Community Sharing Platform

ShareBozeman is a free, community-based platform that enables residents of Gallatin County, Montana and the surrounding area ("the Community") to connect with one another to give, receive, lend, borrow, and share goods, services, time, and skills on a neighbor-to-neighbor basis.

3.2 Not a Marketplace; No Facilitation of Sale Transactions

ShareBozeman is explicitly not an e-commerce marketplace, classifieds service, rental platform, or payment facilitator. The Platform does not process, hold, escrow, or facilitate any monetary payment between Users, and does not charge commissions, listing fees, or transaction fees. ShareBozeman's function is limited to enabling introductions and communications between Users; all subsequent arrangements, exchanges, meetings, and transfers of goods or services occur entirely outside the Platform and are the sole responsibility of the Users involved.

3.3 No Endorsement or Vetting of Listings

ShareBozeman does not create, inspect, verify, appraise, or endorse any listing, offer, request, item, or service posted by Users. We do not guarantee the existence, quality, safety, legality, condition, or value of any item or service exchanged between Users, nor the identity, character, intentions, or background of any User.

3.4 Free Service; No Guarantee of Availability

The Service is currently provided free of charge. ShareBozeman reserves the right to modify, suspend, or discontinue the Service, in whole or in part, at any time, with or without notice, and without liability to you.

4. Account Registration and Security

4.1 Account Creation

To access most features of the Service, you must register for an account and provide accurate, complete, and current information, including at minimum your full name, email address, and a general indication of your location within Gallatin County. You agree to promptly update your account information to keep it accurate.

4.2 One Account Per Person

Each User may maintain only one account. Creation of multiple accounts by a single individual, or use of an account by more than one individual, is prohibited and grounds for termination.

4.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify ShareBozeman immediately at the contact address below upon learning of any unauthorized use of your account or any other breach of security. ShareBozeman is not liable for any loss or damage arising from your failure to safeguard your credentials.

4.4 Identity Verification

ShareBozeman may, but is not obligated to, implement identity or age verification measures. Any such measures are provided as a convenience and do not constitute a guarantee of any User's identity, age, or trustworthiness. You acknowledge that you interact with other Users at your own risk regardless of any verification badge or status displayed.

5. User Conduct and Community Standards

As a condition of using the Service, you agree to conduct yourself in accordance with the following community standards:

•Treat all Neighbors with courtesy, honesty, and respect in all communications and in-person interactions.
•Provide truthful and accurate descriptions of any item, service, or skill offered or requested.
•Honor commitments made to other Users regarding pickup times, drop-offs, service performance, and item condition.
•Communicate any change of plans, cancellation, or delay to the other party as promptly as possible.
•Respect the privacy of other Users and refrain from sharing another User's personal information without consent.
•Comply with all applicable laws and regulations, including those governing the item or service being shared (e.g., food safety, licensing for certain skilled services, firearm and hazardous materials regulations).
•Report suspected fraud, harassment, unsafe conduct, or Terms violations to ShareBozeman promptly.

6. Content, Listings, and Postings

6.1 User-Generated Content

"User Content" means any listing, post, message, photograph, review, comment, or other material submitted to the Platform by a User. You retain ownership of your User Content, but by submitting it, you grant ShareBozeman a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, reproduce, and distribute such content solely for the purpose of operating, promoting, and improving the Service.

6.2 Accuracy of Listings

You are solely responsible for the accuracy, legality, and appropriateness of all User Content you submit. ShareBozeman does not pre-screen User Content but reserves the right, in its sole discretion, to review, edit, refuse, or remove any User Content at any time and for any reason, or no reason, without notice.

6.3 Prohibited Content

User Content may not: infringe any third party's intellectual property, privacy, or publicity rights; contain false, misleading, or fraudulent statements; depict or promote illegal activity; contain hate speech, harassment, or threats; solicit commercial sales of goods or services for profit (see Section 7); or contain sexually explicit material or material harmful to minors.

7. Prohibited Uses

In addition to any prohibitions stated elsewhere in this Agreement, you agree that you will not, under any circumstances:

•Use the Platform to buy, sell, or resell goods or services for profit, or to operate a commercial business, in contravention of ShareBozeman's giving-and-sharing model.
•List, offer, request, or exchange any illegal item, controlled substance, firearm requiring a dealer license, stolen property, counterfeit good, or any item prohibited by federal, Montana state, or Gallatin County law.
•Offer professional services (medical, legal, financial, electrical, structural, or similarly regulated services) without holding all licenses required by Montana law.
•Use the Platform to harass, stalk, threaten, defraud, or exploit any other User, including any minor who may be listed as a household member.
•Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
•Use automated means (bots, scrapers, crawlers) to access or extract data from the Platform without prior written consent.
•Circumvent, disable, or interfere with security features of the Service.
•Use the Service for any purpose that is unlawful or prohibited by this Agreement.

Violation of this Section may result in immediate account termination, forfeiture of any pending exchanges, and referral to law enforcement where warranted.

8. No Broker or Agency Relationship

ShareBozeman acts solely as a passive venue for introductions between Users. Nothing in this Agreement, and no feature of the Service, creates any agency, partnership, joint venture, employment, escrow, bailment, or fiduciary relationship between ShareBozeman and any User, or between Users. ShareBozeman is not a party to any agreement, exchange, loan, or transaction that Users enter into with one another, whether formed on or off the Platform.

9. Assumption of Risk

You expressly acknowledge and agree that use of the Service involves interacting and meeting with other Users, including in person, to exchange goods, services, and skills, and that such interactions carry inherent risks, including but not limited to:

•Physical injury, property damage, or loss arising from meeting a stranger or entering another User's property or vehicle.
•Receipt of an item that is defective, unsafe, misrepresented, or different from what was described.
•Non-performance, late performance, or negligent performance of an offered service.
•Financial loss, fraud, or theft.
•Exposure to unsafe conditions, animals, or individuals during pickup, drop-off, or service delivery.

You voluntarily assume full responsibility for any and all risk of loss, damage, or injury, of any kind, that may result from your use of the Service or your interactions with other Users. You are encouraged, but not required, to meet in public locations, bring another person, inspect items prior to accepting them, and use ordinary caution and good judgment consistent with meeting any unfamiliar individual.

10. Release of Liability

To the fullest extent permitted by Montana law, you hereby release, waive, discharge, and covenant not to sue ShareBozeman, SYG Holdings LLC, and each of their respective owners, members, officers, employees, contractors, and agents (the "Released Parties") from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, or injury, including death, that may be sustained by you or your property while participating in any exchange, meeting, or interaction facilitated through the Service, whether caused by the negligence of the Released Parties or otherwise, except to the extent caused by the gross negligence or willful misconduct of a Released Party.

This release specifically extends to disputes between Users, including disputes over item condition, service quality, non-delivery, or personal injury during an exchange; ShareBozeman has no obligation to mediate, investigate, or resolve such disputes, though it may do so at its sole discretion as a courtesy.

11. Disclaimer of Warranties

THE SERVICE, AND ALL CONTENT, LISTINGS, AND MATERIALS MADE AVAILABLE THROUGH IT, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

ShareBozeman does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or servers are free of viruses or other harmful components. ShareBozeman makes no warranty regarding the quality, safety, legality, or accuracy of any User Content, item, or service offered by any User.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROPERTY, PERSONAL INJURY, LOST PROFITS, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO SHAREBOZEMAN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. GIVEN THAT THE SERVICE IS OFFERED FREE OF CHARGE, THE PARTIES ACKNOWLEDGE THIS AMOUNT MAY BE NOMINAL.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the foregoing limitations may not apply to you. In such jurisdictions, liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of this Agreement; (c) your violation of any third-party right, including intellectual property, privacy, or publicity rights; (d) your User Content; or (e) any interaction, exchange, or dispute between you and another User, including any personal injury or property damage arising therefrom.

14. Third-Party Interactions and Independent Verification

You are solely responsible for evaluating whether to interact with any other User and for exercising appropriate diligence, including but not limited to independently verifying any credentials, licenses, or representations made by another User before accepting a service. ShareBozeman is not responsible for the conduct, whether online or offline, of any User.

15. Intellectual Property

15.1 ShareBozeman Marks and Content

The ShareBozeman name, logo, wordmark, tagline "Neighbors Helping Neighbors," and all associated branding, graphics, and platform content (excluding User Content) are the property of SYG Holdings LLC and are protected by applicable trademark, copyright, and other intellectual property laws. You may not use ShareBozeman's marks or branding without prior written permission.

15.2 Limited License to Use the Service

Subject to your compliance with this Agreement, ShareBozeman grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended personal, non-commercial community-sharing purpose.

16. Privacy

Your use of the Service is also governed by the ShareBozeman Privacy Policy, which describes how we collect, use, and disclose information about you. By using the Service, you consent to the data practices described in the Privacy Policy.

17. Copyright Complaints (DMCA)

If you believe that any User Content infringes your copyright, please send a written notice to the contact address below including: a description of the copyrighted work; the location of the allegedly infringing material on the Platform; your contact information; a statement of good-faith belief that the use is unauthorized; and a statement, under penalty of perjury, that the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf. ShareBozeman will respond in accordance with the Digital Millennium Copyright Act.

18. Suspension and Termination

18.1 Termination by ShareBozeman

ShareBozeman may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for any actual or suspected violation of this Agreement, at ShareBozeman's sole discretion.

18.2 Termination by User

You may terminate your account at any time by following the account deletion process within the Platform or by contacting us at the address below.

18.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections of this Agreement that by their nature should survive termination — including Sections 9–14, 16, and 19–24 — shall survive.

19. Dispute Resolution: Binding Arbitration and Class Action Waiver

19.1 Agreement to Arbitrate

You and ShareBozeman agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Service shall be resolved through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

19.2 Arbitration Procedure

Arbitration shall be conducted by a single neutral arbitrator in Gallatin County, Montana, in accordance with the rules of a mutually agreed arbitration provider. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

19.3 Class Action Waiver

YOU AND SHAREBOZEMAN EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall proceed in the courts identified in Section 20.

19.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to ShareBozeman within thirty (30) days of first accepting these Terms, at the contact address below, stating your name and clear intent to opt out of arbitration.

20. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict-of-laws principles. For any dispute not subject to arbitration under Section 19, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Gallatin County, Montana.

21. Modifications to These Terms

ShareBozeman reserves the right to modify this Agreement at any time. Material changes will be communicated by posting an updated version on the Platform with a revised effective date, and, where required by law, by additional notice such as email. Your continued use of the Service after such changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.

22. Severability

If any provision of this Agreement is held to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

23. Entire Agreement; No Waiver

This Agreement, together with the Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and ShareBozeman regarding the Service and supersedes any prior agreements. ShareBozeman's failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

BY CLICKING "I AGREE" OR OTHERWISE CREATING AN ACCOUNT, YOU ACKNOWLEDGE THAT YOU ARE AT LEAST 18 YEARS OF AGE, THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT IN ITS ENTIRETY, INCLUDING THE ASSUMPTION OF RISK, RELEASE OF LIABILITY, DISCLAIMERS, LIMITATION OF LIABILITY, AND BINDING ARBITRATION PROVISIONS ABOVE, AND THAT YOU AGREE TO BE BOUND BY ITS TERMS.
